$6.05 in cash is what holders of each Bumble Class A share are being offered to end the company’s public-market chapter. Bumble announced a $1.3 billion acquisition agreement with Ithaca Holdings on October 13, 2026—but shareholders’ payment, the move into private ownership and a planned leadership handover all depend on the deal closing. 2 14

Ithaca’s founders, Ravi Gupta and John Hegeman, are set to become co-chief executives after completion. Founder and current CEO Whitney Wolfe Herd says she will remain actively involved and work closely with the new owners. What that means as a job—with a title, responsibilities and authority—has not been established. 1 8

Key facts

  1. $1.3bnAnnounced transaction value 212
  2. 138%Announced premium to unaffected share price 2
  3. −16.4%Second-quarter paying users, year over year 22

The offer is a striking premium over a depressed share price, not evidence that Bumble’s recovery is already under way. The buyers would inherit falling revenue and a shrinking paying-user base, following changes to the women-first messaging rule that once defined the app.

A price, not a completed takeover

The merger agreement is dated October 12; the announcement followed the next day. An independent-director special committee unanimously recommended the transaction, and principal stockholders delivered the required written consent. Wolfe Herd and Blackstone were identified as securing shareholder approval through that process. Regulatory clearances and other contractual closing requirements nevertheless remain. 3 4 6

No closing window has been established. Nor have the specific regulatory approvals, financing sources or any financing condition. The transaction is intended to take Bumble private and end its public trading, but there is no established final Nasdaq delisting date. Shareholder approval clears one hurdle; it does not transfer ownership. 3 5

The buyer describes itself as a long-term holding company for technology businesses. Gupta is associated with Sequoia, while Hegeman is a former Meta executive. Their technology backgrounds and their founding of this Ithaca identify the buyer; the name alone is no basis for assuming a connection to another similarly named business. 2 6 8

There is also an important limit to the headline valuation. The announcement describes an all-cash transaction valuing Bumble at $1.3 billion without explicitly identifying that amount as enterprise value or equity value. No debt-and-cash reconciliation has been established. It would therefore be wrong to describe the entire sum as cash going to public shareholders. The concrete Class A offer is $6.05 per share; the announcement’s 138% premium lacks an established comparison date in the available disclosures. 2 12

The reporting changed during October 13. Earlier BBC coverage described advanced talks at approximately $1 billion, or £757 million, with an announcement potentially coming later that week. Bumble’s definitive announcement superseded that account, and Bloomberg and TechCrunch subsequently reported the $1.3 billion agreement. The two figures describe different stages, not competing valuations of the agreed deal. 26 2 5 10

The premium meets a shrinking business

Bumble shares rose almost 50% on Monday, October 12, as takeover speculation spread, taking its reported stock-market value above $580 million. That is a Monday trading observation, not an October 13 closing valuation. BBC News puts Bumble’s historical valuation after its 2021 Nasdaq flotation above $14 billion. The reversal is severe, although the historical stock-market figure and today’s transaction value are not interchangeable measures. 26 1

The latest reported quarter before the agreement supplies a more immediate test. Revenue for the three months ended June 30, released August 5, fell 15.2% to $210.526 million from $248.229 million a year earlier. Total paying users fell 16.4%. The available earnings account does not establish the absolute user count or an app-by-app breakdown, so that percentage cannot responsibly be turned into a guessed number of lost subscribers. 15 17 22

Bumble recorded a second-quarter GAAP net loss of $127.9 million alongside positive adjusted EBITDA of $72.9 million. Its diluted loss per share narrowed to $0.84 from $2.45. Those figures can coexist: adjusted EBITDA excludes expenses counted in net earnings. Neither the positive adjusted measure nor the smaller per-share loss makes the quarter profitable. 16 22

The weakness extends beyond one quarter. First-half revenue was $422.909 million against $495.330 million a year earlier, a calculated decline of approximately 14.6%. Yet Bumble has not lost money in every quarter: first-quarter 2026 net earnings were $53 million on revenue of $212 million, with revenue down 14% year over year. 17 20

For full-year 2025, revenue fell 10% to $966 million while operations generated $250 million in cash. That cash flow is neither net profit nor adjusted EBITDA. BBC News separately reports that 2023 was Bumble’s only annual pre-tax profitable year since flotation; a complete annual pre-tax results series was not available to independently test that claim. A profitable quarter in 2026 does not settle a question about full-year pre-tax earnings. 21 1

A different first move

The ownership change follows a substantial product change. On August 11, 2026, Bumble announced that either person in a match could initiate a conversation, including men in heterosexual matches. It also extended the response window from 24 hours to 72. One decision changed who could begin; the other changed how long matches had to respond. 32 29

That went further than Opening Moves, launched April 30, 2024. Under that feature, a woman could select an opening question and a match could answer it, allowing men to message first in some circumstances. Answering a woman-selected prompt was not the same as independently starting a conversation. Collapsing both updates into one supposed end to women-first messaging misses the distinction. 27 31

These changes matter because Bumble is trying to retain customers while reconsidering its defining feature. But their proximity to declining financial results does not show that either messaging change caused the decline. Nor does the acquisition establish that Ithaca will reverse them.

The proposed co-CEO arrangement also follows Wolfe Herd’s return to management. Bumble announced on January 17, 2025, that she would return as CEO effective in mid-March, succeeding Lidiane Jones, who had resigned for personal reasons. Her stated intention to remain involved after this acquisition is not confirmation that she will remain chief executive alongside Gupta and Hegeman. 37 1

For shareholders, the next test is completion. For customers and employees, the agreement does not yet supply a verified new subscription price, safety policy, feature roadmap or staffing plan. Bumble has an agreed buyer and a planned change at the top. Whether that produces a healthier business is a separate question—and one a takeover premium cannot answer.

As aired 23 lines
  1. Bumble has agreed to sell itself for one point three billion dollars in cash. The deal would take the dating-app company private and put two new chief executives in charge. When will that handover happen, and where does founder Whitney Wolfe Herd fit?
  2. Bumble announced the agreement on October 13, after signing it the day before. Earlier that day, takeover speculation centered on talks worth about one billion dollars, or 757 million pounds. The announced agreement put the value at one point three billion dollars, or 980 million pounds.
  3. Class A shareholders are to receive six dollars and five cents per share in cash. Bumble says that's a 138 percent premium to the share price before takeover news affected trading. Payment depends on the merger reaching completion.
  4. Bumble calls one point three billion dollars the transaction's value. It hasn't explained how that figure breaks down between shares, debt and cash. An independent-director committee unanimously recommended the deal. Principal shareholders supplied the required written consent, with Wolfe Herd and Blackstone securing that approval.
  5. Ravi Gupta and John Hegeman would become co-chief executives after closing. They founded Ithaca Holdings, a technology-focused, long-term holding company. Gupta is associated with Sequoia, and Hegeman is a former Meta executive. They would succeed Whitney Wolfe Herd.
  6. Wolfe Herd's return to the top job was announced on January 17, 2025, effective in mid-March. She succeeded Lidiane Jones, who resigned for personal reasons and stayed until the transition. Now Wolfe Herd says she'll remain actively involved and work closely with the new owners.
  7. Wolfe Herd hasn't specified what job she'll hold after the acquisition. Her promise of continued involvement leaves the new management structure partly unresolved, even as Gupta and Hegeman prepare to take charge together.
  8. Bumble's shares jumped almost 50 percent on Monday, October 12, as takeover speculation spread. That lifted its stock-market valuation above 580 million dollars. Those figures describe Monday's trading, before the definitive agreement was announced.
  9. Bumble reportedly reached a valuation of more than 14 billion dollars after listing on Nasdaq in 2021. Its public-market fortunes have since reversed sharply. The new deal's transaction value and that historical stock-market value measure different things.
  10. The latest results show what the buyers would inherit. Bumble released its second-quarter figures on August 5, covering the three months through June 30. Revenue fell, and total paying users dropped 16.4 percent from a year earlier.
  11. Second-quarter revenue fell from about 248.2 million dollars to about 210.5 million dollars. That's a 15.2 percent decline. The shrinking paying-user base adds another challenge for the incoming owners as they try to rebuild the business.
  12. Bumble recorded a net loss of 127.9 million dollars in the quarter. It also reported positive adjusted EBITDA of 72.9 million dollars. That adjusted earnings measure leaves out expenses included in the net-loss calculation.
  13. The loss per share narrowed to 84 cents from two dollars and 45 cents a year earlier. Bumble still lost money overall that quarter. Its positive adjusted earnings and smaller per-share loss can sit alongside that result because they measure different parts of the business.
  14. Across the first six months, revenue fell from about 495.3 million dollars to about 422.9 million dollars. That's a decline of roughly 14.6 percent, showing that the revenue squeeze extended across the first half.
  15. Bumble did make a net profit in the preceding quarter. First-quarter revenue was 212 million dollars, down 14 percent from a year earlier. Net earnings rose 165 percent to 53 million dollars, while adjusted EBITDA rose 28 percent to 83 million dollars.
  16. For all of 2025, Bumble generated 966 million dollars in revenue, down ten percent. Its operations produced 250 million dollars in cash. Operating cash flow tracks cash moving through the business and differs from its net earnings.
  17. On the separate measure of full-year pre-tax profit, 2023 was reportedly Bumble's only profitable year since going public. The profitable first quarter of 2026 covers a shorter period and uses a different earnings measure.
  18. Bumble now lets either person in a match start the conversation, including men in heterosexual matches. It announced that change on August 11, 2026. The app launched in 2014 with women-first messaging as its signature feature.
  19. An earlier change had already loosened that rule. Opening Moves launched on April 30, 2024. A woman could choose an opening question, and her match could answer it. That let men send the first message in some circumstances, with the woman still choosing the prompt.
  20. The August change lets either participant initiate independently. Bumble also expanded the response window to 72 hours from 24 hours. One decision changes who can begin a conversation. The other gives matches longer to respond.
  21. Those changes form part of the business the new owners would take over. They don't show why paying users fell. Ithaca's next product decisions will determine how Bumble develops under private ownership.
  22. The deal is intended to take Bumble off Nasdaq and into private ownership. Shareholder approval is in place, but regulatory clearances and other closing requirements remain. Nobody has announced a closing window.
  23. Until those conditions are met, Wolfe Herd remains the current chief executive, and Gupta and Hegeman's appointments are planned for after closing. Class A shareholders are due their six dollars and five cents per share when the merger completes.
