What Marvell’s $115 billion Lumentum deal really offers shareholders
Tersedia dalam bahasa Inggris
What, exactly, are shareholders being offered in a $115 billion acquisition paid entirely in stock? In Marvell Technology’s proposed purchase of Lumentum Holdings, the answer is not a cash windfall of that size. It is a share exchange whose dollar value can move with the market—and a bet that bringing chips and optical hardware under one roof will create a stronger supplier to AI data centers.15
Marvell announced the definitive agreement on November 2, 2026. Its SEC-filed communication describes a proposed transaction, not a completed acquisition. The businesses remain separate, with closing expected in the first half of 2028, subject to stockholder approval and the other conditions needed to complete the deal. That leaves shareholders judging both the exchange on offer and a business combination that has yet to prove itself.4123
What the headline price actually means
The most important distinction is between the value assigned to the whole business and the value assigned to its shareholders. Davis Polk, Lumentum’s legal adviser, describes approximately $115 billion in implied enterprise value. Bloomberg Law separately reports an equity valuation of about $102.6 billion. Those figures measure different things; they are not competing accounts of a single cash payment.158
Enterprise value generally incorporates debt and other adjustments beyond equity value. But the full calculation connecting these two figures—including the reference share price and capitalization assumptions—has not been established from the available excerpts. It would therefore be wrong to label the entire difference as debt, or to describe $115 billion as the verified value of the shares Lumentum investors will receive.
The exchange itself is more concrete. Davis Polk says Lumentum holders would receive 4.500 Marvell shares for each Lumentum share. It puts their prospective ownership at approximately one-third of the combined company, consistent with Bloomberg Television’s report that existing Marvell shareholders would retain roughly two-thirds. These are proposed terms at closing, not ownership that has already transferred.152
For Lumentum investors, that means the offer is exposure to Marvell stock rather than a fixed sum of money. A rise or fall in Marvell’s share price changes the market value of the stated consideration. They would also keep an investment in the enlarged business, participating in its eventual successes or disappointments.
For existing Marvell investors, the bargain runs the other way: retain the larger ownership stake, but share the combined company with Lumentum’s shareholders. The useful question is not simply whether the acquisition sounds large. It is whether the capabilities being acquired justify the ownership being issued to obtain them. The complete merger agreement and any adjustment provisions remain important to that assessment.
The business behind the AI pitch
This is a deal about the connections between computing equipment, not a new AI model. Marvell supplies data-infrastructure semiconductors, including products that process signals for optical connections. Lumentum makes lasers, optical components and optical circuit switches. Their businesses span the electronics and light-based hardware used to connect computing and networking equipment.41
Optical links carry information as light through fiber; switching equipment directs connections through a network. Combining the suppliers could put more of that connecting hardware inside one business. Marvell says joining their complementary technologies and engineering teams would allow it to offer an end-to-end system addressing a broader range of customer needs. That is a commercial proposition, not a performance result already delivered.3
AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation.
Marvell’s chief executive followed that statement with an even longer horizon: “The companies that move first and help define this transition will set the standard for decades to come.” His argument is that early ownership of complementary technology can help determine the industry’s direction. Marvell’s description of the proposed business as a “category leader in AI connectivity” expresses the same ambition. Neither statement independently establishes future leadership.1
The industrial logic is understandable: combine capabilities that customers use in connected systems. But owning more pieces does not, by itself, demonstrate faster AI computing, lower electricity use, cheaper infrastructure or better terms for buyers. Those are outcomes to be demonstrated, not benefits shareholders should quietly add to the purchase announcement.
The first reported trading reaction was hardly a celebration. CBS News reported that Marvell shares fell more than 1% before the opening bell on November 2, while Lumentum shares fell almost 3% after the announcement. Those are dated market moves, not current prices. They also cannot establish why investors sold or isolate the deal’s effect from other influences on trading.1
There is another AI-industry connection, though it should not be stretched into an endorsement. CBS, citing Bloomberg, reported that Nvidia had announced earlier in 2026 that it was buying a $2 billion stake in Lumentum. The original investment documents and completion status have not been independently verified in the available evidence. That reported stake is not proof that Nvidia approves this acquisition or its valuation.1
The documents that matter next
Marvell says it intends to file a Form S-4 registration statement containing a joint proxy statement for both companies’ stockholders. Those documents should give investors a fuller basis for assessing the valuation, share exchange and approval conditions before voting. The next meaningful milestone is better disclosure, not the mere passage of time toward the expected closing window.13

- The full enterprise-to-equity valuation reconciliation, any exchange-adjustment provisions and the complete set of closing conditions have not been established from the available excerpts.

- Watch for the planned registration statement and joint proxy, including fuller financial terms, approval requirements and any voting timetable.
The first half of 2028 is a reported expectation, not a guaranteed completion date or an established contractual deadline. Until the necessary approvals are obtained and the transaction closes, this is a proposed consolidation of AI-connectivity suppliers. Shareholders are being asked to exchange ownership for an industrial opportunity—not to mistake a large headline valuation for a return already earned.3

- Marvell plans to buy Lumentum entirely with shares. The proposed combination carries a reported enterprise value of about $115 billion. It would put more of the technology connecting AI computing equipment under one supplier. What does that valuation mean for shareholders, and how far is the deal from completion?
- Marvell makes data-infrastructure chips, including products that process signals for optical connections. Lumentum makes lasers, optical components and optical circuit switches. Together, their businesses span the electronics and light-based hardware used to connect computing and networking equipment.
- Marvell announced the definitive agreement on November 2, 2026. The companies still operate separately while they pursue the proposed transaction. For shareholders, the immediate issue is the value of the stock being offered and the ownership that would follow.
- Lumentum's legal adviser, Davis Polk, puts the implied enterprise value at about $115 billion. A separate equity valuation of about $102.6 billion has been reported. Those figures measure different things, and the transaction would pay Lumentum holders in Marvell shares.
- Enterprise value generally includes debt and other adjustments beyond the value assigned to shareholders' equity. The full calculation connecting these two figures hasn't been explained. Because the consideration is stock, its market value can change as Marvell's share price moves.
- Optical links carry information as light through fiber. Switching equipment directs connections through a network. That's the physical technology behind the deal's AI pitch. The companies want to combine capabilities used between computing equipment as data-center customers build out their infrastructure.
- Davis Polk says Lumentum holders would receive four and a half Marvell shares for each Lumentum share. That exchange would tie their investment to the combined company's stock. A rise or fall in Marvell shares would change what that consideration is worth.
- Marvell shareholders would own about 67% of the combined company, while Lumentum shareholders would own about 33%. That proposed split gives Marvell holders the larger stake and gives Lumentum holders a continuing investment in the business after closing.
- Marvell says joining the companies' technologies and engineering teams would let it offer an end-to-end system for a broader range of customer needs. The commercial aim is to bring complementary chip and optical-hardware capabilities into the same business.
- Marvell CEO Matt Murphy described the opportunity this way. “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation.” His argument is that moving early could shape the industry's direction.
- He added, “The companies that move first and help define this transition will set the standard for decades to come.” Marvell also calls the proposed business a category leader in AI connectivity. Those are the company's ambitions for the combination.
- Marvell shares fell more than 1% before the opening bell on November 2. Lumentum shares fell almost 3% after the announcement. Those early moves show both stocks trading lower, but they don't tell us why individual investors sold.
- Nvidia also reportedly announced earlier in 2026 that it was buying a $2 billion stake in Lumentum. For this acquisition, the next major step is giving both companies' shareholders fuller information about the proposed exchange and the conditions for completing it.
- Marvell plans to file a registration statement containing a joint proxy statement for both companies' shareholders. Those documents should give investors a fuller basis for judging the valuation, share exchange and approval conditions before they vote on the combination.
- The deal is expected to close in the first half of 2028, subject to stockholder approval. That timing is an expectation, and the companies still have to meet the conditions for closing before their chip and optical-hardware businesses can operate as one.
