Warner Bros. Discovery. 108

  1. On October 1 we reported approval, not ownership. Paramount has now acquired Warner Bros. Discovery.
  2. CNN and CBS News now share an owner, alongside major film studios and two streaming services. The combined business faces around $80 billion in expected net debt. What protection actually begins now for subscribers, film workers and journalism—and what remains only a promise?
  3. The takeover closed on October 6, 2026. Paramount Skydance Corporation became Skydance Corporation, trading as SKYD on the New York Stock Exchange. Warner Bros. Discovery became its wholly owned subsidiary. The name is Skydance, not the previously circulated spelling Skyance.
  4. The portfolio combines the studios and libraries behind Mission: Impossible and Harry Potter, Paramount+ and HBO Max, and CBS News and CNN. That is common ownership, not evidence that the two streaming services have already become one subscription product.
  5. The September 21 settlement involved California, 11 other states and the Writers Guild of America. On September 23, we reported that it cleared a path without selling CNN or the film franchises. Closing has now made that ownership transfer real.
  6. Judge Araceli Martínez-Olguín entered the consent decree on September 30 in the Northern District of California. October 1 was our reporting date, not the approval date. Justice Elena Kagan denied a last-minute injunction application on October 5 without referring it to the full Court.
  7. The application in Pamela Faust and others against Paramount Skydance and others sought an injunction, not a full-Court endorsement of the merger agreement. U.S. and European legal and regulatory challenges had cleared before closing. The October 6 morning expectation became a completed transaction later that day.
  8. Senator Cory Booker's September 22–24 objections and demands for financing and conflict disclosures did not stop closing. It remains unestablished whether Congress obtained every requested disclosure or completed a comprehensive review before ownership changed.
  9. The transaction's headline values range from $81 billion to $111 billion, but they describe different measures. About $110 billion is the announced enterprise valuation. The $81 billion figure is the equity valuation announced when the agreement was signed on February 27.
  10. The signing price was $31 per share. About $111 billion appears in debt-inclusive coverage; it does not establish another billion added at closing. The reported £82.8 billion equivalent is a currency conversion, not an additional payment.
  11. Each Warner Bros. Discovery share converted into $31.01666668 in cash. That includes the $31 base and ticking consideration of $0.00277778 per share per calendar day after September 30 through the October 6 closing—six days of additional consideration.
  12. Aggregate ticking consideration was $41,886,975.78. A pro forma estimate using the July 23 share count put common-stockholder cash at about $78 billion, including ticking, plus about $1.1 billion for vested awards. These are not an audited final equity valuation.
  13. The combined company is expected to carry around $80 billion in net debt. Pro forma long-term debt is about $80.32 billion, a different measure. New permanent financing was $51.9 billion, with another $5 billion of Term A loans outside that package.
  14. The $51.9 billion comprises $9.5 billion of seven-year Term B loans, $30 billion of first-lien secured notes and $12.4 billion of second-lien secured notes. Including the separate Term A loans gives $56.9 billion of specified new financing, not total company debt.
  15. Existing and assumed obligations also matter. The $54 billion debt commitment at signing was an earlier financing measure. The rounded $52 billion permanent package closed in just over a week, but that speed did not eliminate concern about the company's debt burden.
  16. The financing includes investment-grade and speculative-grade debt. The investment-grade portion lacked covenants typically associated with speculative-grade borrowing. That limits those particular contractual safeguards; it does not mean the debt has no terms or protections at all.
  17. On October 1, eight-year second-lien notes traded around 96 after issuance at 100. Investment-grade paper weakened, five-year credit-default swaps reached a reported 17-year high, and reported mark-to-market losses exceeded $100 million. Some bonds recovered later, without a complete set of restored prices.
  18. An October 8 indication still put the eight-year second-lien notes a little above 95, yielding around 9.7%. A $5.25 billion ten-year first-lien tranche was near 278 basis points above Treasuries, compared with 262.5 at issue.
  19. Existing unsecured notes due in 2036, with a 6.875% coupon, were indicated six points lower at 79, yielding about 10.4% rather than 9.25%. These observations are not verified October 8 closing prices, uniform results across every bond, or realized corporate losses.
  20. Skydance issued 3,917,657,246 Class B shares at $12 each in a private investment in public equity, or PIPE. That raised approximately $47.01 billion, rounded to $47 billion in the announcement. It is funding equity, not the $81 billion valuation of acquired shares.
  21. The syndication price used a 20-day volume-weighted average, with a $12 floor and $16.02 ceiling. The rough half-debt, half-equity financing description does not establish final ownership percentages.
  22. Original subscription agreements provided up to $46.7 billion plus ticking from affiliates of Lawrence J. Ellison's trust, and $250 million from RedBird. Those rights were syndicated. The backstop capacities therefore are not the final checks written by those investors.
  23. The reported Ellison family investment is about $17 billion, roughly 1.4 billion shares at $12. Preliminary allocations put three Gulf sovereign funds collectively at about $24 billion, RedBird's additional investment at $4 billion, and Shinsegae's commitment at about $1 billion.
  24. The named investors include Saudi Arabia's Public Investment Fund, Abu Dhabi's L'Imad, the Qatar Investment Authority and LionTree. A company spokesperson declined comment on the Ellison estimate. Final investor-by-investor allocations and resulting ownership interests remain unresolved; these provisional amounts cannot become an asserted final ownership table.
  25. RedBird's reported $6 billion total commitment includes earlier Paramount investment, not $6 billion entirely supplied to this acquisition PIPE. Shinsegae's approximately $1 billion commitment was disclosed through E-Mart as 1.36 trillion won, invested through an offshore vehicle.
  26. The savings accounts differ between $8 billion over three years, $6 billion over three years and $6 billion annually. The company-confirmed target is at least $6 billion in run-rate synergies within three years: an annualized savings rate it aims to reach by then.
  27. That does not mean $6 billion of cumulative savings over three years, or a verified $18 billion total. No company $8 billion synergy target was established. About $8 billion also describes an earlier Ellison-RedBird Paramount investment—a different financial quantity.
  28. Technology, procurement, marketing and real estate are identified as efficiency sources. Management aims to implement about 30% of synergies in year one and 70% by year two. Which jobs, facilities, programs or services will bear the decisions is not yet established.
  29. Management targets net leverage of 3.75 times in 2028 and 3.0 times by the end of 2029, with more than $10 billion of free cash flow by 2030. None is achieved. Failure to meet these goals is itself a disclosed risk.
  30. Overlapping studios, news divisions, programming businesses, cable networks and streaming operations create opportunities to eliminate duplication—and potentially employment. A pre-closing model examined Los Angeles County's film and television economy, not just the city, all of California or the global workforce.
  31. The August 19 assessment was commissioned by the county's Department of Economic Opportunity and Film Office at Supervisor Lindsey Horvath's request. It modeled a three-year integration period, including consolidated film slates, fewer unscripted and talk-program greenlights, and debt-driven production and cost shifts.
  32. The model estimated 4,495 direct employment units, commonly rounded to about 4,500, plus 2,661 indirect and 3,204 induced units: 10,360 job-years. One job-year is one job sustained for one year, not one distinct person known to be losing a job.
  33. Associated modeled exposure was $1.26 billion in wages, $2.78 billion in economic value, $4.06 billion in business output and $547 million in tax revenue, including $78.6 million locally. These are overlapping economic measures, not separate cash losses to add together.
  34. A separate June 18 corporate-overlap analysis identified about 2,495 greater-Los-Angeles County roles and around 6,000 globally as potentially exposed, mainly shared corporate, technology and real-estate functions. Its scope differs from the August production model. The figures are not additive.
  35. The county expressly warned that these were not layoff forecasts. Cuts of the modeled scale had not been announced. The completed acquisition does not establish a final layoff program, and concerns about franchise-focused programming do not prove that any particular director-led project has been canceled.
  36. Subscribers have no verified new post-merger tariff or compulsory bundle in this record. A larger combined service could offer more programming together, but someone paying for only one service could face a higher price. Higher prices and reduced choice remain forecasts, not imposed outcomes.
  37. The settlement specifies no consumer streaming-subscription price freeze. That answers the earlier question about a freeze duration: no such subscriber provision is established. Instead, counted theatrical films have a 90-day subscription-streaming holdback, and Pluto TV or an equivalent successor must remain free and advertising-supported.
  38. Pluto's service and quality must be at least equal to the level on the decree's September 30 effective date. Neither that requirement nor the film holdback promises that paid subscriptions will stay at today's prices.
  39. For five years, former Paramount and Warner basic-cable affiliation terms must be negotiated separately. Existing renegotiation schedules cannot change except at a distributor's written request. Confidential affiliate-fee information from one business cannot be used in the other's negotiations.
  40. A distributor can request combined negotiation in writing, but the company cannot solicit that request or condition other terms on it. These protections exclude premium cable, streaming and broadcast. They are not general household price protection.
  41. Theater rental-term guardrails apply during the first three Commitment Years. Current and planned releases must honor then-current terms, with terms no less favorable than the higher of the two studios' closing rental-rate schedules for each exhibitor. Catalog licensing must remain similar to comparable 2025 titles.
  42. A three-year restriction on theater rental terms is not a freeze on every consumer's ticket or streaming price.
  43. Skydance must release 30 qualifying U.S. theatrical films in 2027 and 30 in 2028, then 32 in each of 2029, 2030 and 2031: 156 releases. These are existing settlement obligations whose calendar is now fixed, not new concessions invented at closing.
  44. The quota counts qualifying theatrical releases, not productions started, streaming commissions or films announced. The Commitment Years begin after the closing calendar year, so final-quarter 2026 releases do not count. At least four films each year must meet the decree's independent-film definition.
  45. At least 20 films must be wide releases in each of the first two years, and 21 in each of the next three, at a 2,000-screen threshold. At least 50% of the slate must be company-produced or jointly produced, and at least 20% tentpoles.
  46. Tentpoles require production and acquisition budgets of at least $50 million in September 2026 dollars, inflation-adjusted, and 3,000 domestic screens within four weekends. An independent film is based on an original screenplay or originated outside the combined company, Disney, Universal or Sony.
  47. That is broader than a guarantee of four low-budget outside productions. The slate combines a substantial franchise component with an independent-film floor; it does not establish that every director-led project will retain a home.
  48. Counted films need a theatrical window of at least 45 days. They cannot be marketed as available on premium video on demand, subscription streaming or other streaming before day 30, and they cannot reach subscription streaming for at least 90 days.
  49. Films opening on fewer than 600 U.S. screens count only if expanded to 1,000 within 30 days. Re-releases, commemorative editions and repackaged previously released intellectual property do not count. New franchise productions can qualify if they satisfy the other rules.
  50. The company must spend at least $300 million more annually on U.S. film production than the businesses spent in 2025—at least $1.5 billion additional over the commitment period. That is an increment above a baseline, not a $300 million total production budget.
  51. Each film short of the annual obligation carries a $30 million payment. A six-month cure period follows the Commitment Year. An uncured shortfall triggers divestiture of the entire direct and indirect Miramax interest—not an immediate forced sale whenever one film misses a date.
  52. Half the payment goes to selected guild health and retirement funds, including Writers Guild, IATSE, Directors Guild and Teamsters funds; 40% to the Motion Picture & Television Fund; and 10% to the state attorneys general's antitrust fund. Payments are non-refundable even after a cure.
  53. Payment is due within 60 days after the Commitment Year or applicable cure period, whichever is later. If divestiture is triggered, a state-committee-approved buyer must acquire the Miramax interest on commercially reasonable terms within 12 months after the cure period expires. Reacquisition is barred during the commitment period. No quota miss is established.
  54. David Ellison has promised editorial independence for CNN and CBS News. He also backed CNN's White House-access case and described the newsrooms as a vital part of democracy. Those are owner commitments, not evidence that every future editorial decision will be free of corporate pressure.
  55. Ellison's October 8 commitment keeps corporate leadership out of editorial while acknowledging operational efficiencies within the savings target. The enforceable safeguard is one News Editorial Independence Board covering both newsrooms—not proof that separate boards have already been installed at each outlet.
  56. The five-member board must be formed and appointed by the company's board of directors within 180 days after closing, by April 4, 2027. No appointees are established in the available record. The structure is a required safeguard, not demonstrated functioning oversight.
  57. Each member must have at least ten years of journalistic practice, including three years with credentials. No more than two may belong to the same political party. Government members and government appointment-approval rights are barred. Members serve three-year terms.
  58. Company officers, directors, shareholders and non-journalist employees or contractors are excluded. The decree supplies no shareholding threshold and no exception for journalists owning company shares. That bar cannot be quietly narrowed to only large investors.
  59. Removal is permitted only for good cause: fair, honest, good-faith reasons, not trivial, arbitrary, capricious, unrelated to business needs or pretextual. Vacancies use the same appointment mechanism. Corporate selection remains a structural limitation even though membership and removal restrictions are genuine safeguards.
  60. During the commitment period, the board establishes guiding principles from CBS News and CNN standards effective September 30. It resolves specified disputes about those principles, bias and fairness in news and editorial content principally produced for U.S. distribution, reporting through the chief compliance officer.
  61. The wider architecture includes an internal compliance monitor, an independent monitoring trustee and a committee of no more than five state attorneys general. Semiannual reporting continues during the commitment period, and the court retains jurisdiction. How those mechanisms work in practice remains untested.
  62. A cable-negotiation breach has a six-month cure period after notice. An uncured violation found by the court can require divestiture of defined channels, including BET and related feeds, VH1, Comedy Central, Smithsonian, Destination America and Science. That is not a requirement to sell CNN or New Line.
